Job Description

- Serve as the primary point of contact between the company and external stakeholders, including shareholders, regulators, and government agencies
- Ensure compliance with all legal and regulatory requirements, including the Companies Act and listing requirements
- Coordinate board meetings, prepare agendas, take minutes, and follow up on action items
- Manage the company's statutory records and filings, including annual reports and returns
- Advise the board on corporate governance best practices and ensure effective communication with shareholders
- Provide guidance on corporate transactions, such as mergers and acquisitions, capital raisings, and restructuring
- Maintain and update the company's corporate governance framework and policies
- Monitor changes in legislation and market trends that may impact the company
- Support the board and senior management in carrying out their duties effectively
- Uphold the highest standards of integrity, ethics, and professionalism in all aspects of the role
